These Terms & Conditions constitute a legally binding agreement between you and InfynoSpark Systems Pvt. Ltd. governing hardware sales, cloud SaaS subscriptions, and software engineering services.
Executive Summary & Key Commitments
01. Acceptance of Terms & Scope of Services
These Terms & Conditions ("Terms") govern your access to IT Consultancy Services, BioSecure biometric terminals, and InfynoSecure cloud SaaS ERP platforms operated by InfynoSpark Systems Pvt. Ltd.. By purchasing hardware or subscribing to our SaaS portals, you agree to these legally binding terms. Policy Version: 2026.1
02. BioSecure Edge Hardware Sale & Warranty
BioSecure terminals purchased for ₹3,500 (inclusive of GST) are owned outright by the customer upon full payment. Each terminal includes a 1-year comprehensive manufacturer warranty covering component defects. Customers agree not to tamper with hardware secure enclaves or tamper-evident seals.
03. Cloud ERP SaaS Billing & 99.9% Uptime SLA
Cloud ERP subscriptions are billed on a 6-month or 12-month recurring basis. We guarantee a 99.9% monthly cloud availability SLA for attendance ingestion, dashboards, and automated WhatsApp parent notification pipelines, backed by multi-region failover across Indian data centers.
04. Acceptable Use & Security Restrictions
Subscribers agree not to: (a) reverse engineer terminal firmware binaries, (b) launch automated scrapers or DoS attacks against cloud API gateways, or (c) deploy biometric edge hardware in violation of local labor or data protection laws.
05. Limitation of Liability
To the maximum extent permitted by Indian law, InfynoSpark's total aggregate liability for operational downtime or service disruption shall not exceed the subscription fees paid by the client during the preceding 6 months.
06. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any legal disputes arising out of these Terms or hardware usage shall be subject to the exclusive jurisdiction of the courts located in Mumbai / Bengaluru, India.
